Terms of Service

Nuevance is a technology platform that provides workflow infrastructure, governance frameworks, documentation controls, and coordination tools for governed procurement execution. The platform may be used by organizations submitting procurement execution requests, independent providers performing scoped work, and other authorized participants operating within the Nuevance governance model.

Nuevance is not a consulting firm and does not directly perform procurement consulting or sourcing services.

Nuevance acts as a platform operator and governance layer that enables procurement execution intake and request submission, execution instrument configuration, work order and workflow management, documentation and approval tracking, communication between authorized participants, and settlement support and recordkeeping.

Independent providers may perform scoped work through the platform. Nuevance provides the workflow structure and documentation controls but does not direct the independent professional judgment of providers.

Users of the platform agree to provide accurate and complete information, use the platform only for lawful business purposes, maintain the confidentiality of platform information and account access, not misuse platform tools, workflows, or communications, and comply with applicable contractual, regulatory, and internal policy requirements. Users are responsible for the information they provide, the approvals they issue, and the business decisions they make in connection with the platform.

Providers using the platform represent and warrant that they have the experience, qualifications, and authority necessary to perform scoped work, will perform work in good faith and with reasonable professional diligence, will comply with applicable laws, regulations, and contractual obligations, and will comply with workflow, documentation, and governance requirements applicable to the workstream.

Providers operate as independent contractors and are not employees, agents, joint venturers, or representatives of Nuevance.

Procurement-related outcomes, including cost savings, supplier performance improvements, commercial results, or operational improvements, depend on multiple external factors including customer decisions, supplier participation, market conditions, and execution variables. Nuevance does not guarantee any specific financial, commercial, or operational result arising from use of the platform or work performed through the platform.

Nuevance will make reasonable efforts to maintain platform availability and functionality. However, we do not guarantee uninterrupted or error-free access. Maintenance, upgrades, third-party system dependencies, or technical issues may temporarily limit platform availability.

To the fullest extent permitted by law, Nuevance will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data, business interruption, supplier disputes, or contractual disputes between users or participants.

To the fullest extent permitted by law, Nuevance's total aggregate liability shall not exceed the total fees paid to Nuevance in connection with the specific execution instrument or work order giving rise to the claim.

Users may upload or submit documents, files, communications, data, and other content to the platform. Users retain ownership of their content but grant Nuevance the right to host, store, process, transmit, and use such content as reasonably necessary to operate and maintain the platform. Users are responsible for ensuring uploaded content does not violate any law, contractual restriction, confidentiality obligation, or third-party right.

Nuevance may suspend, restrict, or terminate access to the platform at any time if a user violates these Terms, misuses the platform, creates security or legal risk, or otherwise engages in conduct that may harm Nuevance, its users, or the integrity of the platform.

Nuevance may update these Terms from time to time. Updated Terms will be posted on this page with the revised effective date. Continued use of the website or platform after any update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.
